Allegiant Air Completes Sun Country Takeover

Allegiant Air completed its $1.5 billion acquisition of Sun Country Airlines on May 13. The cash-and-stock deal, first announced in January, received approval from the US Department of Transportation and shareholders of both carriers. The merger unites two leisure-focused ultra-low-cost carriers (ULCCs). Together, the combined airline will serve approximately 22 million customers a year. The combined airline serves nearly 175 cities across more than 650 routes and operates a fleet of 195 aircraft. Las Vegas-based Allegiant emerges as the leading leisure-focused airline in the United States.

Fleet, Cargo and Charters Fuel the Merger's Value

The acquisition gives Allegiant significant scale in a sector where organic growth is increasingly difficult. Allegiant absorbs roughly 60 older Boeing 737-700s and 737-800s from Sun Country's fleet. Sun Country also adds a 20-aircraft cargo operation contracted to fly for Amazon Prime Air. Additional charter contracts covering casinos, Major League Soccer, collegiate sports teams, and the US Department of Defense further diversify revenue.

The combined airline holds firm orders for 30 Boeing 737 Max 8-200s, with options on 80 additional narrowbodies.

Allegiant projects approximately $140 million in annual synergies within three years. The deal is expected to be accretive to earnings per share in the first full year. Minneapolis-St. Paul International Airport remains an "important operating center for the combined company." Greg Anderson continues as CEO of the combined airline, while Sun Country CEO Jude Bricker joins Allegiant's board.

How the Airline Plans to Navigate Cost Pressures

The merger closes against a difficult backdrop for budget airlines. Rising jet fuel prices, linked to the Iran conflict, are squeezing airline margins across the industry. Spirit Airlines, once the largest ULCC in the United States, operated its final flights on May 2. Anderson acknowledged that Allegiant is not immune to cost pressures, even after posting a $42.5 million profit in Q1. The carrier has since trimmed its capacity. "Our model was built to protect margins and not chase growth," Anderson said. When demand softens, he said, the airline will park planes and "pull capacity back." Allegiant is among several budget airlines that have sought financial support from the US government.

Las Vegas Tourism Feels the Fuel Price Squeeze

The fuel crunch is already hitting Las Vegas tourism. Visitor volume in 2025 fell 7.5% from 2024, a decline of more than 3.12 million visitors. Through March 2026, visitor volume is up just 0.4%. Air travel into Harry Reid International dropped 5% in Q1, totaling roughly 12.5 million passengers, down nearly 678,000 fewer than Q1 2025. Southwest Airlines, the top Las Vegas carrier with 1.9 million passengers in April, forecast second-quarter earnings below analyst expectations. CEO Robert Jordan warned that revising full-year guidance "would not be productive at this time." He added, "Fuel prices are much higher. And if that is sustained, it will require higher ticket prices to offset that increase in fuel."
